1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the Kashia platform, including Kashia Hire, Kashia HR, and Kashia Vault, operated by Kashia ("we," "our," or "us"). By creating an account or using our services, you agree to these Terms. If you do not agree, do not use our services.
2. Description of Services
Kashia provides three core services:
Kashia Hire
A platform connecting companies with verified, compliant talent from Africa. Services include direct hiring facilitation and managed talent outsourcing, where Kashia acts as the employer of record for outsourced talent.
Kashia HR
A workforce management platform for businesses, providing HR management, payroll processing (including Nigerian statutory compliance), attendance tracking, leave management, and performance management. Available in self-service or managed modes.
Kashia Vault
A digital escrow coordination platform that enables secure transactions between buyers and sellers. Kashia Vault manages transaction conditions, milestones, and dispute resolution. Kashia does not directly hold or custody customer funds. All payments are processed and managed through a CBN-licensed payment provider.
3. Account Registration
- You must provide accurate, complete information when creating an account
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized access to your account
- One person or legal entity per account unless otherwise agreed
- You must be at least 18 years old to create an account
- Company accounts must be created by authorized representatives of the company
4. Kashia Hire: Specific Terms
For companies hiring talent
- Talent profiles presented through Kashia have been vetted by us, but final hiring decisions are your responsibility
- For direct hires, the employment relationship is between you and the hired individual. Kashia facilitates the connection but is not the employer.
- For outsourced talent, Kashia is the employer of record. You manage the worker's day-to-day tasks; Kashia handles employment, contracts, payroll, and compliance.
- You may not circumvent Kashia to hire talent directly when engaged through the outsourcing model without prior written agreement and applicable fees
- Fees for Kashia Hire services are as quoted or as set out in your service agreement
For talent on the platform
- You must provide accurate information about your skills, experience, and qualifications
- You must complete any required verification and assessment processes
- You agree to maintain professional standards when deployed to client companies
- For outsourced engagements, your employment relationship is with Kashia, subject to a separate employment agreement
5. Kashia HR: Specific Terms
For companies
- You are responsible for the accuracy of employee data entered into the platform
- Payroll calculations are based on the salary structures and employee information you provide. While we ensure compliance with Nigerian statutory deductions, accuracy depends on correct input data.
- You are responsible for reviewing and approving payroll runs before disbursement
- Kashia is not liable for payroll errors resulting from incorrect data provided by you
- For managed HR services, a separate service agreement will define the scope of Kashia's responsibilities
- You must comply with all applicable Nigerian labor laws and regulations regarding your employees
For employees
- Your access to the employee portal is provided through your employer's Kashia account
- Your employer and authorized HR administrators can view your employment records, attendance, leave, payroll, and performance data
- Your employee portal access may be terminated if your employment with the company ends
6. Kashia Vault: Specific Terms
General escrow terms
- Kashia Vault is a transaction coordination platform. Kashia does not directly hold, custody, or manage customer funds. All funds are processed and held by a CBN-licensed payment provider.
- Kashia is not a party to the underlying agreement between buyer and seller. Kashia manages the transaction conditions and instructs fund releases through our licensed payment provider when conditions are met.
- Both parties must agree to the contract terms, milestones, and payment structure before funds are deposited
- When a buyer initiates a transaction, payment is processed via our licensed payment provider into a designated account. Kashia manages transaction conditions and confirms fulfillment before instructing fund release through our licensed payment provider.
- Funds processed through Kashia Vault are held by our licensed payment provider in accordance with CBN regulations and are not commingled with Kashia's operating funds
- Funds are released only when milestones are approved by the designated approving party, or as determined through dispute resolution
- Kashia charges a transaction fee as published on our pricing page. This fee is non-refundable once a transaction is initiated.
Disputes
- Either party may raise a dispute if they believe the other party has not met the agreed terms
- Kashia will review disputes and may request evidence, documentation, or clarification from both parties
- Kashia's dispute resolution is a mediation service, not a legal proceeding. Kashia's resolution decisions are binding within the platform.
- For disputes that cannot be resolved through Kashia's mediation, parties retain their right to pursue legal remedies independently
- Kashia is not liable for losses arising from the underlying transaction between parties
Prohibited uses of Kashia Vault
- Money laundering or financing of illegal activities
- Transactions involving illegal goods or services
- Fraudulent transactions or misrepresentation of terms
- Circumventing sanctions or international trade restrictions
7. Payment Terms
- All fees are as published on our pricing page or as agreed in your service agreement
- Kashia HR subscription fees are billed monthly or annually as selected
- Kashia Hire fees are as quoted per engagement
- Kashia Vault transaction fees are deducted at the time of fund release
- All amounts are in Nigerian Naira (₦) unless otherwise specified
- Late payments may result in suspension of services
- Refunds are handled on a case-by-case basis. Subscription fees for unused periods may be refunded upon request within 14 days.
8. Acceptable Use
You agree not to:
- Use Kashia for any unlawful purpose
- Provide false or misleading information
- Attempt to gain unauthorized access to other accounts or our systems
- Interfere with or disrupt the platform's operation
- Use automated tools to scrape, crawl, or extract data from the platform
- Resell or redistribute access to Kashia without authorization
- Use Kashia Hire to circumvent employment laws or worker protections
- Use Kashia Vault for money laundering, fraud, or other financial crimes
9. Intellectual Property
The Kashia platform, including its design, code, features, and content, is owned by Kashia and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform. Your data remains yours, we do not claim ownership of data you input into the platform.
10. Limitation of Liability
To the maximum extent permitted by law:
- Kashia is provided "as is" without warranties of any kind, express or implied
- Kashia is not liable for indirect, incidental, special, or consequential damages
- Kashia's total liability for any claim is limited to the fees you paid to Kashia in the 12 months preceding the claim
- Kashia is not liable for losses arising from payroll errors caused by incorrect data you provided
- Kashia is not liable for losses arising from the underlying transaction in Kashia Vault, Kashia is a transaction coordinator, not a fund custodian or guarantor. Fund custody is provided by our licensed payment provider under CBN regulation.
11. Termination
- You may close your account at any time by contacting us
- We may suspend or terminate your account for violation of these Terms
- Upon termination, your right to use the platform ceases. We will retain data as required by law and our retention policies.
- For Kashia HR, termination does not affect the legal obligations of ongoing employment relationships
- For Kashia Vault, active escrow transactions must be resolved before account closure
12. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of Kashia will be resolved in the courts of Lagos, Nigeria, unless otherwise agreed.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before they take effect. Continued use after changes constitutes acceptance.
